The short version — plain English
- You own your data. We own our methodologies, frameworks, and content.
- Payments are due within 15 days of the invoice date as agreed in your contract
- We are not liable for third-party platform changes (Instagram, Google, ChatGPT) beyond our control
- All disputes are governed by Indian law, seated in Gurgaon courts
- Creator content ownership stays with the creator — brands receive a usage licence only
These Terms govern your use of pansypurple.com and any services provided by PansyPurple Media Private Limited. By accessing this website or engaging our services, you accept these terms in full.
1. Definitions
- ‘Client’ — any individual or entity that purchases or engages PansyPurple services
- ‘Creator’ — any content creator or influencer in or applying to the PansyPurple network
- ‘Services’ — creator marketing, AI workflow design, AI search visibility, and related consulting
- ‘Website’ — pansypurple.com and all subdomains
2. Website Use
You may use this website for lawful purposes. You agree not to scrape, copy, or reproduce our content without written permission, attempt unauthorised access to our systems, or transmit unsolicited communications via our contact forms.
3. Services — Client Terms
3.1 Payment
- Invoices are due within 15 days of the invoice date unless otherwise agreed in writing
- A minimum 3-month retainer commitment is required for ongoing service packages
- Payments are non-refundable unless a material breach on our part is established
- Late payments may attract interest at 1.5% per month on the outstanding balance
- Work may be paused if an invoice is more than 21 days overdue
3.2 Client Responsibilities
- Providing accurate brand guidelines, assets, and access within agreed timelines
- Designating a primary point of contact for approvals and communications
- Reviewing and responding to deliverables within 5 business days (unless otherwise agreed)
- Ensuring all claims provided for inclusion in campaigns comply with ASCI guidelines
3.3 Cancellation & Exit
- Clients may terminate with 30 days’ written notice after completing the minimum commitment period
- Early termination does not entitle the Client to a refund of fees already paid
- PansyPurple may terminate immediately if a Client engages in unethical or illegal conduct
4. Intellectual Property
PansyPurple IP: All methodologies, frameworks, systems, and named methods (including the PansyPurple Growth Stack) remain our intellectual property unless explicitly assigned in writing.
Client brand assets remain the property of the Client. PansyPurple receives a limited licence to use them solely for delivering agreed services. Creator-produced content is governed by individual creator agreements — clients receive a usage licence only.
5. Confidentiality
Both parties agree to keep confidential any non-public information shared during the engagement, including strategy documents, pricing, campaign performance data, and internal processes. This obligation survives termination for 2 years.
6. Creator Network Terms
Applying to the PansyPurple creator network does not guarantee acceptance or campaigns. All sponsored content must comply with ASCI guidelines. Creators may not misrepresent their audience size, engagement rates, or use purchased or bot-generated engagement. Payments processed within 15 business days of approved content delivery.
7. Limitation of Liability
Our total liability to any Client for any cause shall not exceed the total fees paid in the 3 months preceding the claim.
We are not liable for indirect or consequential losses, changes to third-party platforms (Instagram, Google, ChatGPT, etc.), revenue or conversion outcomes which depend on factors outside our control, or any third-party service outages.
8. Disclaimers
PansyPurple does not guarantee specific revenue outcomes, search rankings, or campaign results. All projections in proposals are estimates based on historical data and are not contractual commitments.
9. Governing Law & Disputes
These Terms are governed by the laws of India. Disputes shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, seated in Gurgaon, Haryana, in English.
